Departure of Principal Accounting Officer

On September 30, 2026, Adam Wadecki, Senior Vice President and Controller of Eaton Corporation, who has been serving as the principal accounting officer of Eaton Corporation plc (the “Company”), accepted a new position within the Company and will transition into a non-executive officer position as Senior Vice President, Finance, Electrical, effective October 5, 2026.

Appointment of Principal Accounting Officer

On October 1, 2026, Andrea Trabacchin was appointed as Senior Vice President and Controller of Eaton Corporation, effective October 5, 2026 (the “Effective Date”).  Mr. Trabacchin will serve as the Company’s principal accounting officer.

Mr. Trabacchin, 48, served as Senior Vice President, Finance, Industrial of Eaton Corporation from April 2024 to October 2026, and as Vice President of Finance, Mobility Group of Eaton Corporation from April 2022 to April 2024.  Prior to joining the Company in April 2022, he served as Vice President of Finance, Construction Equipment Segment of CNH Industrial N.V., an agricultural and construction equipment company, from August 2020 to April 2022.

In connection with his appointment as Senior Vice President and Controller, and effective as of the Effective Date, Mr. Trabacchin will receive (i) an annual base salary of $485,000 and (ii) a target short-term annual incentive opportunity equal to 60% of his base salary (prorated for the number of months worked during 2026).  In addition, the Company entered into its standard form of Indemnification Agreement with Mr. Trabacchin, which form was previously filed with the Securities and Exchange Commission and incorporated by reference as Exhibit 10(kk) to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2025, which was filed on February 26, 2026.  Mr. Trabacchin will also participate in the same vacation, health, welfare, and retirement plans and policies as similarly situated officers.

There are no family relationships, as defined in Item 401(d) of Regulation S-K, between Mr. Trabacchin and any of the Company’s directors or executive officers, or persons nominated or chosen to become a director or executive officer of the Company.  There is no arrangement or understanding between Mr. Trabacchin and any other person pursuant to which Mr. Trabacchin was appointed to serve as an officer.   Mr. Trabacchin does not have any direct or indirect material interest in any transaction or proposed transaction with the Company that is required to be reported under Item 404(a) of Regulation S-K.
