License Agreement with Hiteck

On October 13, 2026, Visara, Inc. (“Visara”), a majority-owned ophthalmology subsidiary of NovaBridge Biosciences (“the “Company”), entered into an exclusive license agreement (the “License Agreement”) with Wuhan Hiteck Biological Pharma Co., Ltd. (“Hiteck”) for the development and commercialization of VIS-102 (HT006.2.2) worldwide, excluding Greater China. VIS-102 is a modified recombinant human nerve growth factor therapy designed to restore corneal health in patients with neurotrophic keratitis, a rare, degenerative disease in which damage to the nerves supplying the cornea impairs its ability to heal.

Under the terms of the License Agreement, Visara will pay Hiteck an upfront and near-term milestone payment of $7.0 million. In addition, Visara has agreed to make additional aggregate payments of up to $104.0 million based upon the achievement of certain clinical development and commercialization milestones. With respect to any licensed product Visara commercializes under the License Agreement, Visara will pay Hiteck tiered royalties, on a country-by-country basis, at a single digit percentage of annual net sales of each such licensed product, subject to specified reductions, until the latest of (i) the expiration of the last valid claim covering the licensed product in such country (provided that if a biosimilar product to a licensed product is sold in accordance with applicable law in such country, then this provision will be deemed to no longer apply to extend the royalty term), (ii) the tenth anniversary of the first commercial sale of such licensed product in such country and (iii) the expiration of applicable regulatory exclusivity applicable to such licensed product in such country or jurisdiction. The License Agreement also establishes a joint steering committee comprised of three representatives from each of Visara and Hiteck, which will discuss and coordinate the development and commercialization activities of products.
