MYX, Inc.

NOTES TO THE CONDENSED FINANCIAL STATEMENTS

Note 1 Organization and basis of presentation

MYX, Inc. was incorporated in Wyoming on February 25, 2025. The Company operates the Legal Stage platform and provides related subscription and analytics access. Its fiscal year ends May 31. These condensed interim financial statements cover the three months ended August 31, 2026 and the corresponding 2025 period and should be read with the annual financial statements in the Form 10-K filed September 2, 2026.

These condensed interim statements apply the annual accounting policies where supported and include recurring revenue, depreciation and amortization. Interim results are not necessarily indicative of full-year results. The accompanying notes are an integral part of these financial statements.

For the three months ended August 31, 2026, the income tax provision of $720.83 reflects management’s application of a 21% rate to income before income taxes of $3,432.50. No income taxes were paid during the quarter.

The May 31, 2026 comparative includes a $1,428 adjustment to reclassify direct offering costs previously expensed as deferred offering costs. Before any income-tax effects, this increases comparative current assets, total assets and equity by $1,428 and reduces accumulated deficit by the same amount; liabilities are unchanged. The research advance remains current in the May comparative. During the current quarter, the entire $1,428 fixed offering cost was charged against the $78,000 of proceeds raised. No cost is retained for uncertain future subscriptions; the offering remains open. The cost remains unpaid.

Corrections of prior-period presentation

The comparative operating results use underlying ledger cents: revenue $6,752.00, expenses $6,597.88 and net income $154.12, corresponding to the filed amounts of $6,752, $6,598 and $154. Equity uses underlying cents of $16,271.46; the earlier filing displayed $16,272.

The cash flows for the three months ended August 31, 2025 have been restated for material classification errors. The restatement excludes $7,600 of software acquired on credit and a $32,400 transfer from accrued expenses to accounts payable, reflects $2,709 of expenses paid by a shareholder as noncash, and classifies a $400 shareholder cash advance as financing. Operating cash flow changed from $7,600 provided to $400 used; investing cash flow changed from $7,600 used to zero; and financing cash flow changed from zero to $400 provided. The correction has no effect on net income, earnings per share, total assets, liabilities, equity or ending cash.

Note 2 Revenue and contract liabilities

Revenue is recognized as contracted access is provided over the service period. Management confirmed that contracted access continued during June–August 2026 without changes. Existing full-month recognition schedules support $18,637.50 of Pro/Enterprise revenue and $3,125.00 of analytics-access revenue. Total revenue was $21,762.50. No customer cash collections occurred during the quarter.

Schedule of contracts with customers
Deferred revenue roll forward  2026
Balance at May 31  $65,562
New deferred billings or collections identified   0
Revenue recognized   (21,762)
Balance at August 31  $43,800

Closing deferred revenue comprises $41,300.00 of Pro/Enterprise obligations and $2,500.00 of analytics-access obligations. These are remaining service obligations, not anticipated new sales. Other prior contracts expired before this quarter; no unsupported renewal revenue is included.

NOTES TO THE CONDENSED FINANCIAL STATEMENTS (CONTINUED)

Note 3 Accounts receivable and credit losses

Gross accounts receivable totaled $39,700 at August 31, 2026. Subsequent to quarter-end, the Company collected $14,700 of these balances.

At August 31, 2026, $25,000 remained receivable from Kenneth. The customer subsequently indicated that payment would be made in November 2026. Management expects full collection, and no allowance has been recorded.

Note 4 Research advance

At August 31, 2026, the Company held a $30,000 advance under an executed university research collaboration agreement providing an enforceable right to future research services. No services had been performed and no project outputs had been received as of that date. The provider is expected to perform, and all services are expected beyond the next twelve months and outside the Company’s normal operating cycle.

The advance is classified as noncurrent at August 31. No research expense or impairment was recognized during the quarter. The advance will be expensed as the related research services are performed, and recoverability will be reassessed. The May comparative remains current as shown in the filed balance sheet; the inconsistency with annual Note 9 remains unresolved. The August reclassification affects neither total assets nor income and creates no cash flow.

Note 5 Equipment software and vendor costs

Schedule of equipment software and vendor costs
Net assets  May 31  Additions  D and A  August 31
Equipment   8,867    1,500    (1,392)   8,975
Software   27,778    0    (3,333)   24,444

Existing equipment depreciation of $1,266.66 and software amortization of $3,333.33 follow the supplied schedules. The $1,500 computer purchase was delivered and ready for use by June 30, 2026. Using the existing three-year straight-line estimate, zero residual value and full month when ready for use, depreciation on this computer is $125.01 for June-August. The convention does not assume a specific delivery day.

The Company incurred $10,630 for maintenance of existing platform functionality, defect testing and data cleaning, and $2,975 for business consulting and customer onboarding. All services were performed during June-August 2026. The platform work did not add new capabilities, acquire datasets or develop software; the costs are expensed.

Note 6 Payables and related party financing

Accounts payable totaled $41,428 at August 31, 2026, unchanged from May 31, 2026, and related to services received in prior periods.

The unsecured, non-interest-bearing loan from the Company’s Chief Executive Officer totaled $3,109 at August 31, 2026 and is payable on demand. The balance remains outstanding, and the shareholder had not requested repayment as of October 14, 2026.

MYX, Inc.

NOTES TO THE CONDENSED FINANCIAL STATEMENTS (CONTINUED)

Note 7 Common stock and earnings per share

The Company received $78,000 for 3,900,000 common shares at $0.02 per share in June and July. At August 31, 2026, 8,900,000 shares were outstanding. Basic EPS divides net income available to common stockholders by weighted-average shares. No potentially dilutive instrument was identified in the supplied capital records, so diluted EPS equals basic EPS.

Using subscription acceptance dates, which management confirms coincide with the documented receipt dates, weighted-average shares are 7,463,437.50 for 2026 and 5,000,000 for 2025. EPS for 2026 is $0.000363, or $0.00 rounded to cents. Comparative 2025 EPS is $0.000031, or $0.00 at two decimal places. The denominator reflects daily weighting of 52 accepted subscriptions.

The $1,428 direct S-1 preparation and filing cost was reclassified from prior-period expense to deferred offering costs in the May comparative and deducted from additional paid-in capital against the current-quarter offering proceeds. It remains unpaid within accounts payable; no additional liability, current-quarter expense or cash payment was recorded. See Note  1.

Note 8 Segment information

Consistent with the annual disclosures, MYX has one operating and reportable segment. The Chief Executive Officer is the chief operating decision maker. Segment revenue, net income and assets equal the corresponding Company amounts in these statements. Significant expenses are the operating expense categories shown in the statement of operations. No separate segment adjustment is made.

Note 9 Going concern

The annual financial statements disclosed substantial doubt about the Company’s ability to continue as a going concern. At August 31, 2026, cash was $97,395. The increase in cash came from equity financing; current-quarter customer collections were zero and operating cash outflow was $13,605.

Subsequent to quarter-end, $14,700 of the August receivables was collected; $25,000 remains outstanding. Management reports $10,500 paid for September data cleaning and October platform maintenance. These payments cover services after August 31. Management estimates monthly operating cash spending of $3,000-$8,000, including audit, accounting, legal and SEC filing costs. The outstanding $41,428 supplier payable and $3,109 demand loan remain obligations. Management confirms that the $14,700 collections and $10,500 payments were the only cash movements through October 14, 2026, resulting in cash of $101,595 on that date.

Management plans to seek additional investment and reduce or postpone discretionary spending if needed. As of October 14, 2026, the Company had no committed additional financing. There can be no assurance that financing will be obtained or spending reductions will be sufficient. These conditions raise substantial doubt about the Company’s ability to continue as a going concern for one year after issuance of these financial statements. Management’s plans do not alleviate that substantial doubt. The financial statements are prepared on a going-concern basis and do not include adjustments that would result if the Company could not continue. No forecast receipt or payment has been recognized in the quarter.

Note 10 Commitments contingencies and estimates

The $3,109 related-party balance is payable on demand, and $43,800 deferred revenue represents remaining customer service obligations. The $30,000 research advance is described in Note 4. Management confirmed no additional unreported June–July unpaid bills, costs paid on MYX’s behalf or asset changes, and no August transactions or other accounting events, beyond recurring adjustments addressed here.

Note 11 Subsequent events

Management reports payments of $3,500 in mid-September and $7,000 in mid-October for services in those respective months. These subsequent-period expenses do not change the August-quarter results.

Subsequent to August 31, 2026, the Company collected $14,700 of its quarter-end receivables. Management confirms no other cash movements, material events or new obligations through October 14, 2026. Cash at that date was $101,595. The existing supplier payable and shareholder loan remain outstanding; no loan repayment demand had been made as of October 14, 2026.

 10

ITEM 2. MANAGEMENT’S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATIONS

Overview and results of operations

MYX operates Legal Stage and earns revenue from subscription and analytics access. This discussion compares the three months ended August 31, 2026 with the same period in 2025. Financial amounts are presented consistently with the accompanying financial statements.

Results  2026  2025 as filed
Revenue  $21,762.50   $6,752.00
Operating expenses   18,330.00    6,597.88
Income before taxes   3,432.50    154.12
Net income  $2,711.67   $154.12

Revenue increased $15,010.50, or 222.3%, as the May 2026 Pro/Enterprise subscriptions and continuing analytics-access arrangement contributed a full quarter of recognized revenue. Revenue represents service delivery against existing contract balances. There were no customer cash collections during the quarter, so revenue growth did not produce an operating cash inflow.

Operating expenses increased $11,732.12, or 177.8%. The 2026 quarter includes $10,630 of platform maintenance, testing and data cleaning, $2,975 of consulting and onboarding, and $4,725.00 of depreciation and amortization. The comparative quarter included $3,109 of consulting/legal/accounting costs and $3,488.88 of depreciation and amortization. Income before taxes increased $3,278.38.

Platform maintenance and related services are expensed; the computer purchase is capitalized. The research advance is classified as noncurrent based on the confirmed future service period. Subsequent collections are disclosed separately without treating uncollected amounts as cash.

Liquidity and capital resources

Cash increased $62,895, from $34,500 to $97,395. Financing inflow of $78,000 exceeded $13,605 of operating payments and $1,500 of equipment purchases. The corrected comparative quarter shows $400 used in operating activities, no investing cash flow and $400 provided by financing activities, with no change in cash. See Note 1.

Current assets are $137,095. Current liabilities are $89,057.83 and working capital is $48,037.17. Current assets include $39,700 of gross receivables. The $30,000 research advance is classified as noncurrent. Cash is the most immediately available resource.

Funding requirements

Management estimates $3,000-$8,000 monthly operating spending, including professional and filing costs. Liquidity depends on spending, collection of the remaining $25,000 receivable and settlement of $44,537 of supplier and shareholder obligations. No additional investor financing was received through October 14, and no uncommitted future financing is assumed.

Management plans to seek additional investment and reduce or postpone discretionary spending if needed. No additional financing was committed as of October 14, 2026. The supplier payment schedule remains undecided and the shareholder loan is payable on demand. Substantial doubt exists for one year after issuance of these financial statements and is not alleviated by these plans.

 11

MANAGEMENT’S DISCUSSION AND ANALYSIS (CONTINUED)

Critical accounting estimates

Revenue recognition follows the existing contract schedules and confirmed continued access. Management confirms full recoverability of the Kenneth receivable, and no allowance is recorded as described in Note 3. Research advance classification and absence of quarter expense or impairment reflect the confirmed future-service rights and expected performance. Recoverability will be reassessed. The equipment estimate and monthly convention follow the existing asset schedules. Vendor service periods and maintenance expense classification have been resolved.

The May comparative includes the $1,428 offering-cost presentation adjustment, and the 2025 comparative cash flows have been restated, as described in Note 1. Neither adjustment changes cash; the cash-flow restatement does not change operating results.

ITEM 3. QUANTITATIVE AND QUALITATIVE DISCLOSURES ABOUT MARKET RISK

As a smaller reporting company, MYX is not required to provide the information otherwise required by this item.

ITEM 4. CONTROLS AND PROCEDURES

The annual report stated that disclosure controls and procedures were ineffective as of May 31, 2026. It identified weaknesses involving limited segregation of duties and cash controls, information technology/security and backup procedures, and oversight by a board acting without a separate audit committee.

Based on their evaluation, our Chief Executive Officer and Chief Financial Officer concluded that our disclosure controls and procedures were not effective as of August 31, 2026 due to the material weaknesses previously disclosed in our Annual Report on Form 10-K.

There were no changes in the financial oversight, cash controls or information technology security and backup controls during the quarter ended August 31, 2026. The previously disclosed weaknesses were not remediated during the quarter.

 12

PART II. OTHER INFORMATION

ITEM 1. LEGAL PROCEEDINGS

There were no new legal proceedings during the quarter ended August 31, 2026 or subsequently through October 14, 2026.

ITEM 1A. RISK FACTORS

As a smaller reporting company, the Company is not required to provide the information otherwise required by this item. Liquidity, collections, control weaknesses and material estimate risks relevant to this quarter are discussed in Part I.

ITEM 2. UNREGISTERED SALES OF EQUITY SECURITIES AND USE OF PROCEEDS

The Company’s Form S-1, Registration No. 333-290465, became effective March 31, 2026 and registered 9,000,000 common shares at $0.02 per share, or $180,000 in aggregate. The offering is conducted directly by the Company without an underwriter. During the quarter, MYX sold 3,900,000 common shares for gross proceeds of $78,000. The offering remained open at August 31, 2026. No other shares, options, warrants or convertible securities were issued, and no shares were repurchased during the quarter. Common shares outstanding totaled 8,900,000 at August 31, 2026.

Identified offering expenses were $1,428 for S-1 preparation and filing, unpaid at August 31; proceeds after this cost were $76,572. Cash proceeds received remained $78,000. Cash payments during June-July totaled $15,105: $10,630 for platform maintenance, testing and data cleaning; $2,975 for consulting and onboarding; and $1,500 for equipment. Management confirms that none of the six vendors was affiliated with MYX officers, directors, major shareholders or their immediate families. Because cash was commingled, application of offering proceeds is estimated using net proceeds available by payment date after reserving the $1,428 unpaid offering cost. Estimated net proceeds used were $12,147 for working capital and $1,500 for equipment; remaining net proceeds of $62,925 were held in cash. These are allocation estimates, not tracing of specific dollars. August 31 total cash was $97,395.

ITEM 3. DEFAULTS UPON SENIOR SECURITIES

Accounts payable includes $40,000 of unpaid fees under the Company’s previously filed software development agreement. The agreement provides for payment upon delivery and permits a lien over the website for fees in arrears for more than 30 days. The $40,000 remained unpaid at October 14, 2026. See Note 6 in Part I, Item 1.

ITEM 4. MINE SAFETY DISCLOSURES

Not applicable to the Company’s described operations.

ITEM 5. OTHER INFORMATION

No director or executive officer adopted, modified or terminated any Rule 10b5-1 trading arrangement or non-Rule 10b5-1 trading arrangement during the quarter ended August 31, 2026.
