Item 7.01 Regulation FD Disclosure.
On October 14, 2026, Evolution Metals & Technologies Corp. (the “Company” or “EM&T”) issued a press release announcing that its portfolio of eight sintered neodymium-iron-boron (“NdFeB”) rare earth magnet grades represents what the Company estimates to be approximately 75% of global sintered NdFeB magnet revenue and approximately 52% of global volume — placing EM&T squarely at the commercial center of the rare earth magnet market. The Company also reaffirmed its fiscal 2027 revenue guidance of $400 million to $460 million, announced that it expects to begin acquiring equipment to produce samarium cobalt (“SmCo”) magnets, the magnet class relied upon across U.S. military systems, by mid-2027, and confirmed it will respond to the U.S. Army’s sources sought notice for rare earth magnets. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
The information contained in this Item 7.01, including Exhibit 99.1, is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such filing.
