Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 21, 2026, Adam Townsend and Thomas Perfumo each notified DeFi Development Corp. (the “Company”) of their resignations from the Company's Board of Directors (the “Board”), effective immediately. The Company thanks Mr. Townsend and Mr. Perfumo for their respective service and contributions to the Board.

The resignations of Mr. Townsend and Mr. Perfumo were not the result of any disagreements with the Company on any matter relating to its operations, policies or practices.
