(the “Company”) entered into certain securities purchase agreement (the “Purchase Agreement”) with certain non-U.S. investors (the “Purchasers”), as defined in Regulation S of the Securities Act of 1933, as amended (the “Regulation S”), pursuant to which the Company agreed to sell 40,000,000 units (the “Unit”), each Unit consisting of one class A ordinary share, par value of $0.00001 per share, of the Company (the “Class A Ordinary Share”) and one warrant, with each warrant to purchase one Class A Ordinary Share (the “Warrant”), at a price of $0.70 per Unit for an aggregate purchase price of approximately $28,000,000 (the “Offering”). On October 19, 2026, the Offering was consummated upon satisfying the closing conditions as set forth in the Purchase Agreement, including, among other things, accuracy of the parties’ representations and warranties and receipt of the aggregate purchase price.
