Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Directors; Compensatory Arrangements of Certain Officers.

As previously disclosed by Awaysis Capital, Inc. (the “Company”), on April 6, 2026, Lisa-Marie Iannitelli resigned as a director of the Company. Subsequently, she informed the Company that she also intended to resign from her position as Executive Vice President of Investor Relations of the Company at such time.

On June 29, 2026, the Board of Directors (the “Board”) of the Company passed resolutions accepting Ms. Iannitelli’s resignation from the Board and the ending of her role as Executive Vice President of Investor Relations of the Company.
