Item 1.01 Entry into a Material Definitive Agreement.
On October 16, 2026, Lee Enterprises, Incorporated (the “Company”) and INN Partners, LLC d/b/a BLOX Digital (“BLOX Digital”) each entered into a separate Master Service Agreement (each an “Agreement” and collectively, the “Agreements”) with Quintype Solutions LLC (“Quintype”) for software development services.
BLOX Digital is a majority-owned subsidiary of the Company, in which the Company holds an 82.5% ownership interest. BLOX Digital provides web hosting, digital publishing and content management solutions to the Company and third-party media organizations.
Quintype is a Delaware limited liability company with its principal office in New York, New York. Quint Digital Limited (“Quint Digital”), through its wholly owned subsidiary GMT, holds over 10% membership interest in Quintype. Quint Digital beneficially owns approximately 14.38% of the Company’s outstanding common stock as of October 16, 2026. The Agreements are accompanied by related guaranties of Quint Digital.
Each Agreement has an initial term of three years and automatically renews for successive one-year terms unless either party provides written notice of non-renewal at least 90 days before the expiration of the then-current term. Each Agreement also permits termination for specified causes, including a breach that, if remediable, remains uncured for 30 days following written notice.
Services will be billed on a time-and-materials basis, with no minimum spending commitment. Based on current expectations, the Company anticipates that the engagements will generate aggregate annual net savings of more than $1 million once fully implemented. The Company also expects the engagements to strengthen its software development capabilities, including its ability to integrate AI tools that help clients produce and distribute content more efficiently while maintaining their content standards.
Each party will indemnify the other against third-party claims arising from its malfeasance. Subject to certain exceptions, each party’s aggregate liability under the applicable Agreement is capped at the fees paid or payable by the Company or BLOX Digital to Quintype under that Agreement during the 24 months preceding the claim.
Forward-Looking Statements
This Current Report contains forward-looking statements concerning expected cost savings, development capabilities and AI-related benefits. These statements are based on current expectations and assumptions and are subject to risks and uncertainties that could cause actual results to differ materially, including the timing and costs of implementation, the level of services utilized, Quintype’s performance, and the Company’s ability to achieve anticipated efficiencies and integrate AI tools. Additional risks are described in the Company’s filings with the Securities and Exchange Commission. The Company undertakes no obligation to update these statements except as required by law.
