Explanatory Note

This Amendment No. 1 on Form 8-K/A (this “Amendment”) is being filed by Richardson Electronics, Ltd. (the “Company”) solely to correct an error in the submission header of the original Form 8-K filed with the Securities and Exchange Commission on October 7, 2026 (the “Original Filing”). The submission header of the Original Filing incorrectly listed the Item 2.02 Results of Operations and Financial Condition as Item 2.01 Completion of Acquisition or Disposition of Assets.

This Amendment corrects that administrative header item. No changes have been made to the financial statements, disclosures, or any other information contained in the Original Filing. This Amendment does not reflect events occurring after the date of the Original Filing.

 


Item 2.02 Results of Operations and Financial Condition.

On October 7, 2026, Richardson Electronics, Ltd. (the “Company”) issued a press release announcing earnings results for the first quarter ended August 29, 2026. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein. The information contained in Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
