Item 1.01 Entry Into a Material Definitive Agreement

On October 14, 2026, D.S.B. Holding Corp., a Delaware corporation (“Seller”) and direct wholly-owned subsidiary of Gibraltar Industries, Inc., a Delaware corporation (“Gibraltar” or the “Company”), and The D.S. Brown Company, an Ohio corporation (“DSB”) and indirect wholly-owned subsidiary of Gibraltar, entered into a Securities Purchase Agreement (the “Agreement”), with GCP Applied Technologies Inc., a Delaware corporation (“Buyer”), and Saint-Gobain Corporation, a Pennsylvania corporation (“Parent”), as guarantor of certain obligations of Buyer under the Agreement. Gibraltar is a party to the Agreement for the limited purposes of insurance and special tax indemnification provisions. Subject to the terms and conditions set forth in the Agreement, Seller has agreed to sell to Buyer all of the issued and capital stock of DSB (such sale transaction, the “Transaction”). Buyer is an affiliate of Parent.

On the terms and subject to the conditions set forth in the Agreement, Buyer has agreed to pay Seller an aggregate purchase price of $208.0 million in cash at the closing of the Transaction, subject to customary adjustments related to working capital, indebtedness, cash and transaction expenses, as set forth in the Agreement.

The Agreement contains customary representations, warranties, and covenants by each of Seller, DSB and Buyer. Among other things, between the date of the Agreement and the closing of the Transaction, subject to certain exceptions, DSB has agreed to use commercially reasonable efforts to conduct its business in the ordinary course and to not take certain actions without Buyer’s prior written consent.

The closing of the Transaction is subject to certain customary closing conditions, including, among others: (a) the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”); (b) the absence of an injunction or legal prohibition prohibiting the closing of the Transaction and (c) the accuracy of the parties’ respective representations and warranties and compliance by each party with their respective covenants and obligations contained in the Agreement, subject in each case to certain standards of materiality. Subject to the satisfaction of these closing conditions, the Transaction is expected to close before the end of calendar year 2026. No vote of Gibraltar’s stockholders is required to approve the Transaction.

The Agreement includes certain termination provisions, including the right of either Seller or Buyer to terminate the Agreement if (a) the closing of the Transaction has not occurred by January 31, 2027 (subject to up to five 30-day automatic extensions) in the event that the waiting period under the HSR Act has not expired or been terminated or an order or injunction or law preventing the closing of the Transaction related to competition laws matters is in effect, and the other conditions for the closing of the Transaction have been satisfied as of such date (other than conditions that by their terms cannot be satisfied until the closing, which conditions are capable of being satisfied at the closing), (b) there is a final, non-appealable decision, judgment or order or other action enjoining or otherwise prohibiting the Transaction by a governmental body prohibiting the closing of the Transaction or (c) in the event of material breach by the other party of its representations, warranties and covenants, subject to a customary notice and cure period.

The foregoing summary of the Agreement does not purport to be complete and is qualified in its entirety by reference to the text of the Agreement, attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.

The foregoing summary has been included to provide investors and security holders with information regarding the terms of the Agreement and is qualified in its entirety by the terms and conditions of the Agreement. It is not intended to provide any other factual information about Gibraltar, Seller, DSB, Buyer or their respective subsidiaries and affiliates, including Parent. The Agreement contains representations and warranties by each of the parties to the Agreement, which were made only for purposes of the Agreement and as of specified dates. The representations, warranties, covenants, and agreements in the Agreement were made solely for the benefit of the parties to the Agreement, are subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Agreement instead of establishing these matters as facts, and are subject to standards of materiality applicable to the contracting parties that may differ from those applicable to investors. Investors should not rely on the representations, warranties, covenants, and agreements or any descriptions thereof as characterizations of the actual state of facts or condition of Gibraltar, Seller, DSB, Buyer or their respective subsidiaries and affiliates. Moreover, information concerning the subject matter of the representations, warranties, covenants, and agreements may change after the date of the Agreement, which subsequent information may or may not be fully reflected in Gibraltar’s public disclosures, and unless required by applicable law, Gibraltar undertakes no obligation to update such information.
