Georgia Business Corporation Code
The Registrant is a Georgia corporation. Section 14-2-202(b)(4) of the Georgia Business Corporation Code (the “GBCC”) permits a corporation’s articles of incorporation to eliminate or limit the personal liability of a director to the corporation or its shareholders for monetary damages for any action taken, or any failure to take any action, as a director, except liability for (i) any appropriation, in violation of the director’s duties, of any business opportunity of the corporation; (ii) acts or omissions that involve intentional misconduct or a knowing violation of law; (iii) the types of liability set forth in Section 14-2-832 of the GBCC (relating to unlawful distributions); or (iv) any transaction from which the director received an improper personal benefit. The Registrant’s articles of incorporation contain such a provision.
Section 14-2-851 of the GBCC permits a corporation to indemnify an individual made a party to a proceeding because he or she is or was a director against liability incurred in the proceeding if the individual conducted himself or herself in good faith and reasonably believed, in the case of conduct in an official capacity, that the conduct was in the best interests of the corporation and, in all other cases, that the conduct was at least not opposed to the best interests of the corporation, and, in the case of a criminal proceeding, had no reasonable cause to believe the conduct was unlawful. A corporation may not indemnify a director under Section 14-2-851 of the GBCC in connection with a proceeding by or in the right of the corporation, except for reasonable expenses incurred if the director has met the relevant standard of conduct, or in connection with any proceeding in which the director was adjudged liable on the basis that personal benefit was improperly received.
Section 14-2-852 of the GBCC requires a corporation to indemnify a director who was wholly successful, on the merits or otherwise, in the defense of any proceeding to which he or she was a party because he or she was a director, against reasonable expenses incurred in connection with the proceeding. Section 14-2-853 of the GBCC permits a corporation to advance expenses to a director upon receipt of a written affirmation of good faith belief that the applicable standard of conduct has been met and a written undertaking to repay any advances if it is ultimately determined that the director is not entitled to indemnification. Section 14-2-854 of the GBCC permits a court to order indemnification or advancement of expenses in certain circumstances. Section 14-2-856 of the GBCC permits a corporation, if authorized by its articles of incorporation, bylaws, a contract, or a resolution approved by the shareholders, to indemnify or obligate itself to indemnify a director beyond the scope of Section 14-2-851 of the GBCC, except for liability incurred in connection with the types of conduct described in clauses (i) through (iv) of the first paragraph above. Section 14-2-857 of the GBCC permits a corporation to indemnify and advance expenses to officers to the same extent as directors and, for officers who are not directors, to such further extent as may be provided by the articles of incorporation, bylaws, a board resolution, or contract, subject to certain exceptions. Section 14-2-858 of the GBCC permits a corporation to purchase and maintain insurance on behalf of its directors and officers against liability asserted against or incurred by them in such capacities, whether or not the corporation would have the power to indemnify them against such liability.
Registrant’s Articles of Incorporation and Bylaws; Insurance
The Registrant’s articles of incorporation and bylaws provide that the Registrant shall indemnify its directors and officers, and advance expenses to them, to the fullest extent permitted by the GBCC, for any liability and expense incurred in connection with any threatened, pending or completed action, suit or proceeding in which he or she may become involved, as a party or otherwise, by reason of any action taken or not taken in his or her capacity as a director or officer or as a member of any committee appointed by the Registrant’s board of directors to act on behalf of the Registrant; provided such person acted in good faith and reasonably believed, in the case of conduct in the person’s official capacity, that the conduct was in the Registrant’s best interests, and in all other cases, that the conduct was at least not opposed to the Registrant’s best interests, and, in the case of a criminal proceeding, that the person had no reasonable cause to believe that the conduct was unlawful.
Under the Registrant’s bylaws, expenses incurred in any proceeding will be advanced prior to its final disposition upon the recipient’s written affirmation of (i) his or her good faith belief that he or she has met the applicable standard of conduct and (ii) an undertaking to repay such amount if it is ultimately determined that he or she is not entitled to indemnification. Notwithstanding the foregoing, no individual will be indemnified in respect of any proceeding in which such person was found liable for negligence or misconduct in the performance of his or her duty to the Registrant unless, and only to the extent that, the court in which such proceeding was brought determines upon application that, despite the adjudication of liability and in view of all the circumstances, such person is fairly and reasonably entitled to indemnity for such expenses as the court deems proper.
The foregoing rights of indemnification and advancement of expenses are in addition to any other rights to which any such person may be entitled under any bylaw, agreement, vote of shareholders or otherwise, and to the Registrant’s power to purchase and maintain insurance on behalf of any such person against any liability asserted against or incurred by him or her in such capacity or arising out of such status, regardless of whether the Registrant would have the power to indemnify against such liability. In addition, the Registrant’s articles of incorporation eliminate, to the fullest extent permitted by the GBCC, the personal liability of directors to the Registrant or its shareholders for monetary damages for breach of duty of care or other duty as a director, except for any appropriation of a business opportunity of the Registrant in violation of the director’s duties, acts or omissions involving intentional misconduct or a knowing violation of law, unlawful distributions or receipt of an improper personal benefit.
The Registrant maintains directors’ and officers’ liability insurance covering its directors and officers against certain liabilities, subject to various exclusions.
Item 7. Exemption from Registration Claimed.
Not applicable.
Item 8. Exhibits.
* Filed herewith.
The Plans are not subject to the requirements of the Employee Retirement Income Security Act of 1974, as amended, and is not intended to be qualified under Section 401(a) of the Internal Revenue Code of 1986, as amended. Accordingly, no opinion of counsel concerning compliance with ERISA, Internal Revenue Service determination letter, or related undertaking is required.
Item 9. Undertakings.
| (a) | The undersigned Registrant hereby undertakes: |
| (1) | To file, during any period in which offers or sales are being made, a post-effective amendment to this Registration Statement: |
| (i) | To include any prospectus required by Section 10(a)(3) of the Securities Act; |
| (ii) | To reflect in the prospectus any facts or events arising after the effective date of this Registration Statement (or the most recent post-effective amendment thereof) which, individually or in the aggregate, represent a fundamental change in the information set forth in this Registration Statement. Notwithstanding the foregoing, any increase or decrease in volume of securities offered (if the total dollar value of securities offered would not exceed that which was registered) and any deviation from the low or high end of the estimated maximum offering range may be reflected in the form of prospectus filed with the Commission pursuant to Rule 424(b) if, in the aggregate, the changes in volume and price represent no more than a 20% change in the maximum aggregate offering price set forth in the “Calculation of Filing Fee Tables” exhibit to this Registration Statement; and |
| (iii) | To include any material information with respect to the plan of distribution not previously disclosed in this Registration Statement or any material change to such information in this Registration Statement; |
provided, however, that paragraphs (a)(1)(i) and (a)(1)(ii) do not apply if the information required to be included in a post-effective amendment by those paragraphs is contained in reports filed with or furnished to the Commission by the Registrant pursuant to Section 13 or Section 15(d) of the Exchange Act that are incorporated by reference in this Registration Statement.
| (2) | That, for the purpose of determining any liability under the Securities Act, each such post-effective amendment shall be deemed to be a new registration statement relating to the securities offered therein, and the offering of such securities at that time shall be deemed to be the initial bona fide offering thereof. |
| (3) | To remove from registration by means of a post-effective amendment any of the securities being registered which remain unsold at the termination of the offering. |
| (b) | The undersigned Registrant hereby undertakes that, for purposes of determining any liability under the Securities Act, each filing of the Registrant’s annual report pursuant to Section 13(a) or Section 15(d) of the Exchange Act that is incorporated by reference in this Registration Statement shall be deemed to be a new registration statement relating to the securities offered therein, and the offering of such securities at that time shall be deemed to be the initial bona fide offering thereof. |
| (c) | Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers, and controlling persons of the Registrant pursuant to the foregoing provisions, or otherwise, the Registrant has been advised that in the opinion of the Commission such indemnification is against public policy as expressed in the Securities Act and is, therefore, unenforceable. In the event that a claim for indemnification against such liabilities (other than the payment by the Registrant of expenses incurred or paid by a director, officer, or controlling person of the Registrant in the successful defense of any action, suit, or proceeding) is asserted by such director, officer, or controlling person in connection with the securities being registered, the Registrant will, unless in the opinion of its counsel the matter has been settled by controlling precedent, submit to a court of appropriate jurisdiction the question whether such indemnification by it is against public policy as expressed in the Securities Act and will be governed by the final adjudication of such issue. |
